These Terms of Use apply to your use of ADA, our AI-powered academic planning and assistance platform, along with any associated software applications and websites (collectively, "Services"). These Terms form an agreement between you and ADA, and they include important provisions for resolving disputes through arbitration. By using our Services, you agree to these Terms.

Our Privacy Policy explains how we collect and use personal information. Although it does not form part of these Terms, it is an important document that you should read.

Who we are

ADA is an AI-powered academic planning and digital assistant platform developed to help students at the Lebanese American University (LAU) navigate their academic journey by providing intelligent course planning, scheduling assistance, and personalized academic guidance through conversational AI technology.

Authentication and Access

Minimum age

You must be at least 18 years old to use our Services. By creating an account and using our Services, you represent and warrant that you are 18 years of age or older.

Academic institution requirements

To access our academic planning services, you must be enrolled at an educational institution that has partnered with ADA or be using our services through an authorized educational program.

Authentication and Access

To use the Services, you must authenticate using your official Lebanese American University (LAU) credentials. You are authorizing ADA to access certain academic information necessary to provide the Services. We do not receive or store your LAU password; the authentication process is handled by LAU's single sign-on (SSO) system.

Using our Services

What you can do

Subject to your compliance with these Terms, you may access and use our Services for legitimate academic purposes. In using our Services, you must comply with all applicable laws as well as our Usage Policies and any other documentation, guidelines, or policies we make available to you.

What you cannot do

You may not use our Services for any illegal, harmful, or abusive activity. For example, you may not:

Academic integrity

You agree to use our Services in accordance with your institution's academic integrity policies. Our Services are designed to assist with planning and understanding, not to complete academic work on your behalf. You remain responsible for ensuring your academic work meets your institution's standards.

Content

Your content

You may provide input to the Services ("Input"), including academic information, course preferences, and scheduling requests, and receive output from the Services based on the Input ("Output"). Input and Output are collectively "Content." You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms.

Academic data accuracy

You represent and warrant that all academic information you provide, whether entered manually or parsed from a transcript you upload, is accurate and complete. The quality and accuracy of the course recommendations and schedule plans provided by the Services are directly dependent on the accuracy of this Input. ADA is not responsible for any planning errors, missed prerequisites, or graduation delays resulting from inaccurate or outdated information provided by you.

Ownership of content

As between you and ADA, and to the extent permitted by applicable law, you (a) retain your ownership rights in Input and (b) own the Output. We hereby assign to you all our right, title, and interest, if any, in and to Output.

Our use of content

We may use Content to provide, maintain, develop, and improve our Services, comply with applicable law, enforce our terms and policies, and keep our Services safe. We may also use anonymized academic data to improve our course recommendation algorithms and educational insights.

While we strive for accuracy, our Services may not always reflect the most current course offerings, requirements, or institutional policies. Course availability, prerequisites, and requirements can change. Always verify information with your academic institution before making decisions.

Our Services use artificial intelligence and machine learning technologies to provide academic planning assistance and conversational support. These technologies are rapidly evolving and may occasionally produce unexpected or inaccurate results.

Data and privacy

Academic data handling

We handle your academic information with care and in accordance with applicable privacy laws. Your academic data is used solely to provide our Services and improve our educational algorithms.

Data retention

We retain your academic planning data and chat history to provide continuity in your academic planning and to improve our Services. You may request deletion of your data in accordance with our Privacy Policy.

Our IP rights

We and our affiliates own all rights, title, and interest in and to the Services. You may only use our name and logo in accordance with our Brand Guidelines.

Termination and suspension

You are free to stop using our Services at any time. We reserve the right to suspend or terminate your access to our Services or delete your account if we determine:

Disclaimer of warranties

OUR SERVICES ARE PROVIDED "AS IS." EXCEPT TO THE EXTENT PROHIBITED BY LAW, WE AND OUR AFFILIATES AND LICENSORS MAKE NO WARRANTIES (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE) WITH RESPECT TO THE SERVICES, AND DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE OR ERROR FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED. WE SPECIFICALLY DISCLAIM ANY WARRANTY THAT OUR SERVICES PROVIDE ACCURATE ACADEMIC ADVICE OR RECOMMENDATIONS.

YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUTS FROM OUR SERVICE IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ACADEMIC ADVICE.

WE SPECIFICALLY DISCLAIM ANY WARRANTY THAT THE USE OF OUR SERVICES WILL GUARANTEE YOUR TIMELY GRADUATION, FULFILL ALL DEGREE REQUIREMENTS, OR SECURE A SPOT IN ANY RECOMMENDED COURSE.

Limitation of liability

NEITHER WE NOR ANY OF OUR AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA OR OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Some countries and states do not allow the disclaimer of certain warranties or the limitation of certain damages, so some or all of the terms above may not apply to you, and you may have additional rights. In that case, these Terms only limit our responsibilities to the maximum extent permissible in your country of residence.

Indemnity

To the extent permitted by law, you will indemnify and hold harmless us, our affiliates, and our personnel, from and against any costs, losses, liabilities, and expenses (including attorneys' fees) from third-party claims arising out of or relating to your use of the Services and Content or any violation of these Terms.

Dispute resolution

YOU AND ADA AGREE TO THE FOLLOWING MANDATORY ARBITRATION AND CLASS ACTION WAIVER PROVISIONS:

Mandatory arbitration

You and ADA agree to resolve any claims arising out of or relating to these Terms or our Services, regardless of when the claim arose, even if it was before these Terms existed (a "Dispute"), through final and binding arbitration.

Informal dispute resolution

We would like to understand and try to address your concerns prior to formal legal action. Before either of us files a claim against the other, we both agree to try to resolve the Dispute informally.

Class and jury trial waivers

To the extent permitted by applicable law, you and ADA agree that Disputes must be brought on an individual basis only, and may not be brought as a plaintiff or class member in any purported class, consolidated, or representative proceeding. Class arbitrations, class actions, and representative actions are prohibited.

Academic institution partnerships

ADA may partner with educational institutions to provide enhanced services. If you access our Services through such a partnership, additional terms may apply, and your institution may have access to certain usage data in accordance with our agreements with them.

Changes to these Terms or our Services

We are continuously working to develop and improve our Services. We may update these Terms or our Services accordingly from time to time. We will give you at least 30 days advance notice of changes to these Terms that materially adversely impact you either via email or an in-product notification. All other changes will be effective as soon as we post them to our website.

Entire agreement

These Terms contain the entire agreement between you and ADA regarding the Services and, other than any Service-specific terms, supersedes any prior or contemporaneous agreements between you and ADA.

Governing law

The laws of the Republic of Lebanon will govern these Terms, excluding its conflicts of laws rules. Except as provided in the dispute resolution section above, all claims arising out of or relating to these Terms will be brought exclusively in the courts of Beirut, Lebanon.
